Membership Terms and Conditions

ARTDAG Group (hereinafter referred to as "ARTDAG"), consisting of its subsidiaries and affiliates, wishes to provide customers with the most suitable and unique services, and provides a common ID program (hereinafter referred to as "ARTDAG ID") including a single login function to allow easy access to ARTDAG's global services. Customers can create an account (hereinafter referred to as "Account") and use the membership services in accordance with the ARTDAG Membership Terms and Conditions (hereinafter referred to as "These Terms and Conditions") established by ARTDAG. Please note that some services available with ARTDAG ID require additional registration procedures. In such cases, please check the terms of use, etc. separately presented when using the service and complete the additional registration procedures.

Article 1 (ARTDAG Members)

  1. Customers can use the membership services in accordance with the conditions set by ARTDAG. Customers can use various services provided by ARTDAG through their accounts, but some of these services may require registration of separately specified items and customers must agree to the terms of use of the relevant services in advance.

  2. Membership services include incentive programs such as points or loyalty programs. The content and terms of use of such programs shall be as set forth in the terms and conditions separately established by ARTDAG.

Article 2 (Membership Registration)

  1. By agreeing to these terms and completing the required registration procedures, a contract (hereinafter referred to as "this contract") containing the provisions of these terms will be concluded between you and ARTDAG, and you will be eligible to become a member. Membership registration procedures must be completed by the person who will become a member. Customers who have obtained membership status based on this article will be referred to as "members" hereinafter.

  2. ARTDAG may reject membership applications from individuals whose membership has been revoked in the past or who ARTDAG deems unsuitable for membership.

  3. When registering, please carefully read the instructions and enter the required information in the designated form. Please provide true and accurate information when registering. ARTDAG shall not be liable for any damages incurred by the customer due to false, incorrect, or incomplete information, unless such damages are attributable to ARTDAG.

Article 3 (ID and Password Management)

Members are responsible for managing their account IDs and passwords, including changing them regularly to prevent them from being known to others. When ARTDAG confirms by a prescribed method that the ID and password combination entered or used matches the ID and password registered by the member, it will assume that the member has used the account and provide the member services. Even if a third party other than the member uses the account of the member due to theft, unauthorized use, or other circumstances, ARTDAG will not be liable for any damages caused by such use, unless there is a reason attributable to ARTDAG.

Article 4 (Transactions using Accounts)

Any transactions (including purchases, offers to purchase, and other expressions of intent for transactions) made by members on each service using their accounts are made directly between the member and the other party to the transaction. ARTDAG will not be a party to the transaction, except when it is the other party to the transaction, and will not bear any responsibility for the transaction, except for cases attributable to ARTDAG. Therefore, except in such cases, if any trouble occurs during a transaction, it will be resolved between the member and the other party.

Article 5 (Changes to Registration Information)

If there are any changes to the information registered as a member (hereinafter referred to as "Registered Information"), please promptly change the registered information. ARTDAG shall not be liable for any damages incurred by a member due to failure to change the registered information, except in cases where such damages are attributable to ARTDAG. Even if changes are made, transactions that have already been processed before the changes will be carried out based on the information before the changes. If it is necessary to notify the other party to the transaction of changes to the registered information, the member should contact the other party directly.

Article 6 (Notice by ARTDAG)

  1. Any notices from ARTDAG to members regarding membership services will be sent by email to the email address in the most recent registration information, posted on a website operated by ARTDAG, or by any other method that ARTDAG deems appropriate.

  2. Members agree in advance that when ARTDAG notifies them by sending an email, the notification from ARTDAG will be deemed to have been received when ARTDAG sends the email to the email address in the preceding paragraph and the member is able to view said email, or 24 hours after ARTDAG sends the email, whichever comes first, and they will make any changes to their registration information in the preceding article.

Article 7 (Handling of Personal Information)

ARTDAG will appropriately handle personal information acquired in relation to members' use of the membership services in accordance with ARTDAG's Personal Information Protection Policy (https://www.410gallery.org).

Article 8 (Prohibitions)

  1. When using the membership service, members must not engage in any of the acts specified in the following items or any acts that may be deemed to be such acts.

    1. Any act violating laws, regulations, court rulings, decisions or orders, or legally binding administrative measures

    2. Any act that offends the public order or good morals

    3. Providing benefits to antisocial forces or other acts of cooperation

    4. Any act that infringes the rights, interests, reputation, etc. of 410Gallery, ARTDAG, or any third party.

    5. Impersonating a third party or intentionally sending false information

    6. Unauthorized collection, disclosure, or provision of personal information or other privacy information of a third party

    7. Unauthorized access, use of a third party's account, creation or possession of multiple accounts, or other similar actions

    8. Actions that cause malfunctions of member services

    9. Using, creating, or distributing external tools that cause the Member Service to take advantage of bugs not normally intended, or that have normally unintended effects

    10. Any action that places an excessive burden on the member service or ARTDAG server

    11. Transmitting or disseminating harmful programs such as computer viruses to 410Gallery, ARTDAG, or third parties.

    12. Any act that violates these terms and conditions or goes against the purpose of the membership service.

    13. Any other act that ARTDAG reasonably deems inappropriate.

  2. Members may not transfer, loan, sell, pledge as security or otherwise dispose of their Account and any of their rights and obligations under this Agreement, including their status, to a third party.

Article 9 (Suspension of Use, Cancellation of Membership, etc.)

  1. If ARTDAG determines that a member falls under any of the following items, it may take measures such as suspending the member's use of the membership services, suspending the member's account, changing the member's ID and password, or canceling the member's membership without prior notice. Even if any disadvantage or damage is caused to the member as a result of this, ARTDAG shall not be liable unless there is a reason attributable to ARTDAG.

    1. If a member violates laws, regulations or these terms and conditions

    2. If a member commits a fraudulent act in relation to the use of the member service

    3. When it is necessary to ensure the security of members, such as when a password is entered incorrectly a certain number of times

    4. Any other reason that ARTDAG reasonably considers inappropriate.

  2. In addition to the provisions of the preceding paragraph, if a member does not log in a certain number of times within a certain period of time specified by ARTDAG, ARTDAG may take the measures specified in the preceding paragraph without prior notice. The scope of ARTDAG's responsibility in taking such measures shall be the same as that of the preceding paragraph.

Article 10 (Withdrawal of Membership and Termination of this Agreement)

  1. A member may terminate this Agreement at any time by following the cancellation procedures specified by ARTDAG.

  2. In the event of the withdrawal procedure in the preceding paragraph or the termination of this Agreement for any reason, the Member will immediately be unable to use the Account and the Membership Services. All rights held by the Member in relation to the Membership Services at that time will be extinguished, except as otherwise specified by ARTDAG for each service, and the Member will not be able to make any claims against ARTDAG, except for reasons attributable to ARTDAG. However, if the Member had any debts to the ARTDAG Group prior to the termination of this Agreement, such debts will not be extinguished, and the Member shall pay all such debts to the ARTDAG Group immediately after the termination of this Agreement, except as otherwise specified by ARTDAG for each service.

  3. Members agree in advance that if they cancel their membership, all accounts provided by ARTDAG that correspond to their ARTDAG ID will be deleted at the same time, and they may become unable to use membership services provided by ARTDAG companies other than 410Gallery. Members should review the precautions and other information before completing the cancellation procedure.

Article 11 (Changes, interruptions, termination, etc. of membership services)

  1. ARTDAG may change or add to all or part of the content of the membership service, or terminate the provision of the membership service.

  2. In the case of the preceding paragraph, ARTDAG shall provide information to members at an appropriate time and in an appropriate manner, taking into account the impact and the operation status of member services.

  3. ARTDAG may temporarily suspend all or part of the membership services without prior notice to members in any of the following cases:

    1. To carry out routine or emergency maintenance or repairs on the system

    2. When the system becomes overloaded due to excessive access, etc.

    3. When it becomes necessary to ensure the security of members, 410Gallery, ARTDAG, or third parties

    4. When it is difficult to provide the member services due to force majeure such as communication line outages, natural disasters, fires, power outages, other unforeseen accidents, war, conflict, unrest, riots, labor disputes, etc.

    5. Any other reason that ARTDAG reasonably determines that a suspension is necessary in light of the circumstances of each member service.

  4. ARTDAG shall not be liable for any damages incurred by a Member due to any measures taken by ARTDAG in accordance with this Article, except in cases where such damages are attributable to ARTDAG.

Article 12 (Disclaimer of Warranties and Exemption from Liability)

  1. Members understand and accept that ARTDAG does not guarantee that the incentive programs, content, and all other information provided by ARTDAG through the Membership Service: (i) are free of errors, bugs, malfunctions, or security defects; (ii) do not infringe on the rights of third parties, have the properties expected by Members, or are in compliance with laws and regulations applicable to Members; and (iii) the Membership Service is provided on an "as is" basis at the time the Membership Service is provided, and that Members shall use the Membership Service at their own risk.

  2. ARTDAG does not make any guarantees in these Terms and Conditions regarding the authenticity, accuracy, timeliness, usefulness, reliability, legality, or non-infringement of third party rights of the content of the services available through the member's account.

  3. In the event that ARTDAG is liable to a member in relation to the member's use of the membership service, ARTDAG shall only compensate for ordinary and direct damages actually incurred by the member, except in cases caused by ARTDAG's willful misconduct or gross negligence, and shall not be liable for damages arising from special circumstances (including cases where the occurrence of damages was foreseen or could have been foreseen).

Article 13 (Revision of these Terms, etc.)

  1. ARTDAG may amend these Terms at any time and may impose additional provisions, conditions, etc. In this case, ARTDAG shall provide information to members at an appropriate time and in an appropriate manner, taking into account the impact and the operation status of the member services.

  2. ARTDAG may transfer the business related to the member service to a third party, or have it succeeded through a merger or company split, etc., and may have the status, rights, and obligations under this Agreement succeeded to by the transferee, etc. Members shall consent to such transfer, etc. in advance.

Article 14 (Governing Law, Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan, and in the event of any litigation arising from these Terms, the Tokyo District Court or the Tokyo Summary Court shall be the exclusive court of first instance.
